Planethic Group: Acquisition of CHECK Direkt GmbH

Disclosure of inside information pursuant to Article 17 (1) of the Regulation (EU) 596/2014 on market abuse (market abuse regulation)

Ludwigsfelde, 17th December 2025 – The Supervisory Board ofPlanethic Group AG (formerly Veganz Group AG) (’Company’ or ‘Planethic’) (ISIN: DE000A3E5ED2 / symbol: VEZ) today signed a notarised purchase agreement for the acquisition of all shares in CHECK Direkt GmbH, Dresden. 

The transaction is pending registration in the commercial register. The transfer of income and expenses has been agreed retroactively as of 1 January 2025.

The parties have agreed not to disclose the financial details of the transaction. The acquisition is expected to positively impact revenue and earnings. 

With the acquisition of the profitable CHECK Direkt GmbH, the Planethic Group is strengthening its operational capabilities. The company specialises in digital lead generation as well as lead qualification and will play a strategic role in B2B direct marketing for Mililk® and Peas on Earth.

The previously published forecast for the 2025 financial year remains unchanged.
